About these terms
Ffin Eyewear is a small independent brand. We design in Wales (UK), make in Italy, and are a small batch producer in limited runs. We like to know the people who stock our work. These terms explain how trading with us works, so that we all know where we stand.
They are our general terms. Some stockists have their own arrangements, for example Early Adopter or Exclusivity agreements. Where an agreed arrangement differs from what is written here, the agreed arrangement applies. From time to time this agreement may be updated.
By opening a trade account or placing an order, you agree to these terms. “We” and “Ffin” mean Ffin Eyewear Ltd, 4 Woodville Road, Mumbles, Swansea, Wales, SA3 4AD, company number 14427855 registered in England and Wales. “You” means the business buying from us.
Your account
- Trade accounts are for businesses that buy to resell, such as opticians, boutiques and concept stores.
- We approve every account ourselves. We may ask for a VAT number (UK and EU), an EIN (US), or business registration number for your region and a website or social media link. Your account type and region decide your currency and the type of service we can provide.
- Please keep your details accurate and up to date. You are responsible for orders placed through your account or by sub account holders you nominate.
- We may decline, pause or close an account, and we will let you know if we do.
Sales orders and amendments
- A sales order is your offer to buy. A contract exists once we confirm it. We may decline or reduce an order, for example when stock is short.
- First orders have a minimum quantity of frames depending on your agreement type.
- Our runs are small and stock moves quickly, so items are reserved for you when you order.
- You can amend your own order (add or remove items) until it moves to Processing. After that the order is locked and cannot be changed or cancelled. We will help where timing allows, but cannot promise it.
Prices, discounts and tax
- Prices come from the price list for your account, in your currency, and exclude tax. We may change prices from time to time. Confirmed orders keep the price they were confirmed at.
- Volume and first-order discounts, where they apply to your account, are calculated at checkout on the frames in your order. They may differ between account types and can change for new customers.
- Your first order includes one Brand Block Sign per outlet free of charge. Additional signs can be requested for a small fee.
- VAT is added where it applies to your location and VAT status. Outside the UK and EU, you are responsible for import duties, local taxes and customs clearance. As we grow some regions may get different terms but these will be made clear at the point of order.
Payment
- Most first orders are paid in advance, and orders outside the EU are usually paid in full in advance. As we get to know each other we may agree to ship before payment, and the invoice due date then applies.
- US accounts: we ask for payment when your order is ready to ship. You choose card, ACH or wire at checkout, and ACH and wire carry a discount shown at checkout.
- Where we have agreed Invoice on account, the Invoice must be paid within 30 days of issue. If an invoice is paid late, we may charge statutory interest and withdraw future credit facilities. Late invoices are subject to statutory interest and recovery fees, as the law allows. Where an invoice has aged more than 90 days it will be passed into the collections process.
Delivery
- Shipping is charged at the flat rate for your region shown at checkout. Some destinations are quoted individually, in which case your order is held until you accept the quote.
- US orders are gathered into consolidated shipments, so they can take several weeks from order to dispatch. UK orders may need a stock transfer from the EU, which can add 7 to 10 days. Delivery dates are estimates, and we will keep you informed.
- We cannot ship to some countries because of sanctions or trade restrictions.
- Goods travel at our risk until delivered to you. Ownership stays with us until the invoice is paid in full.
- Please check your delivery within 7 days. Note any visible carrier damage on the delivery receipt, photograph it, and tell us straight away.
If something is wrong
We do not accept returns, exchanges or credits for change of mind. We make small runs of timeless pieces and our prices reflect that, so we ask you to order with care. We are always glad to talk through the range, colours and what will suit your customers before you order.
Faults and mistakes are different, and we will put them right:
- Wrong, missing or visibly damaged items: tell us within 7 days of delivery, with your order number and photos.
- Manufacturing defects: tell us as soon as you find one, with your order number and photos. We assess each case and decide whether to repair, replace or credit.
- We set no fixed warranty period, but the longer a frame has been worn, the harder it is to tell a fault from wear.
- Not covered: accidents, misuse, wear and tear, or modification of the frame. This includes heating, glazing or adjusting a frame to fit a lens or a wearer: once a frame has been altered it is no longer the frame we sent, and we cannot assess it as a manufacturing fault. Please check each frame for faults before it goes to the bench.
Nothing here affects your statutory rights.
Looking after the Ffin name
- You may use our name, logo and the images we supply to promote and sell Ffin, as long as you represent us accurately and do not suggest a partnership beyond stocking our product. Please do not alter our images or logo.
- You are welcome to sell Ffin through your own website or online shop.
- A request, not a condition: to protect the community of stockists, we ask that Ffin-specific discounts are not advertised publicly online. Store-wide offers such as multi-buy or frame-and-lens deals are fine. Your prices are always yours to set.
- If a customer raises a safety concern about a Ffin product, please tell us promptly.
Our liability
Nothing in these terms limits liability that the law does not allow us to limit, including death or personal injury caused by negligence, and fraud. Otherwise, our total liability for any order is limited to the price you paid for the goods concerned, and we are not liable for indirect loss such as lost profit or lost sales.
Data and privacy
We keep your business contact details to run your account, fulfil orders and, with your consent, send trade news. We share data only with the providers we need to take payment, ship orders and keep our accounts. You can unsubscribe from marketing at any time. Our privacy policy has the details.
Pausing or ending the relationship
Either of us can end the trading relationship by giving written notice (email is fine). Confirmed orders still go ahead and unpaid invoices remain due. We may suspend or close an account immediately for non-payment, serious breach of these terms, insolvency, or where we cannot lawfully trade with you.
General
- Delays beyond our control: we are not liable for delay or failure caused by events outside our reasonable control, such as supply disruption, carrier delays, strikes or extreme events. We will keep you informed.
- Changes: we may update these terms from time to time and will tell you. Updates apply to orders placed after the change.
- Whole agreement: these terms, your order confirmation and any agreed account terms are the whole agreement between us. Neither of us may transfer it to someone else without the other’s consent.
- Law: these terms are governed by the law of England and Wales, and the courts of England and Wales have jurisdiction.
- Contact: please use our trade contact page.
